RTCC is a well-known and respected private company formed over 50 years ago. Its services include heavy and light rail track construction, rehabilitation, and removal; site development; and specialty track work. It handles federal, state, municipal and private sector rail projects across the nation as either a prime contractor or subcontractor. RTCC is located in the East and has 75 employees. Field work is supplemented by a pool of contract laborers. Contracts range from $500,000 to $20 million. Its client base is diversified with revenue derived from major transit projects, military contracts and private rail companies.

Desired Transaction
The two major shareholders have agreed to sell their stake in RTCC to an experienced industry executive who is seeking $4 million from a co-investor. The capital will pay the sellers, refinance debt, pay transaction fees, and provide sufficient funds for growth operating capital, bonding capacity, equipment and personnel. Existing shareholders alone do not have the capital resources or operating experience to accomplish the growth opportunity.
